Terms of Service

These Terms of Service ("Terms") govern access to and use of Prysm, a multi-tenant data platform providing spreadsheets with live formula recalculation, visual data-mapping graphs, sandboxed scripting publishable as HTTP endpoints, data contracts, documentation, external data connectors, and an agentic AI assistant ("Juno") (collectively, the "Service"), available at prysm.astroyds.com. The Service is operated by Prysm ("Prysm," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

1. Eligibility and Accounts

You must be at least 16 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account.

2. Organizations, Roles, and Ownership of Content

The Service is organized around Organizations: a shared, multi-tenant workspace containing spreadsheets, mapping graphs, scripts, data contracts, documentation, files, and connections. Every resource belongs to exactly one Organization.

  • Roles. Each member of an Organization holds a role — owner, admin, member, or viewer — which determines what they can view, create, edit, or delete. By joining or being invited to an Organization, you agree that other members with sufficient role privileges may view, edit, or delete Organization-owned content, including content you personally created within it.
  • Ownership. As between you and us, you (or your Organization, as applicable) retain all right, title, and interest in the content you upload, create, or import into the Service ("Your Content"). We claim no ownership over Your Content.
  • License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, and display Your Content solely as necessary to provide, maintain, and improve the Service (including running the formula engine, executing scripts you create, and operating Connections you configure).
  • Your responsibility for Your Content. You are solely responsible for Your Content and for ensuring you have all rights necessary to upload it and to connect it to the Service, including any third-party database, API, or file you point a Connection at.

3. Acceptable Use

You agree not to use the Service to:

  1. Violate any applicable law or regulation.
  2. Upload, import, or process content you do not have the legal right to use, including data obtained in violation of a third party's terms of service or privacy rights.
  3. Attempt to circumvent Organization-based access controls, impersonate another user, or access another Organization's data without authorization.
  4. Use the sandboxed scripting feature to attempt to escape the execution sandbox, exhaust shared system resources, or reach network destinations you have not been authorized to access.
  5. Use a Connection's live-write, push, or pull capability to write to a database, spreadsheet, or API you do not have sufficient permission to modify.
  6. Probe, scan, or test the vulnerability of the Service or attempt to bypass its network-level or authentication security controls, including the Service's protections against requests to internal/private network addresses, except as part of a security disclosure made responsibly to us at nolanidle@gmail.com.
  7. Use published script endpoints or the API to send unsolicited communications, distribute malware, or conduct denial-of-service activity against any system, including the Service itself.
  8. Reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent such restriction is prohibited by applicable law.

We may suspend or terminate access for any account or Organization we reasonably believe is violating this Section.

4. Scripts, Sandboxing, and Published Endpoints

Scripts you write run inside an isolated sandbox with no host access by default. A script may only call the specific host capabilities you explicitly enable for it. You are responsible for the code you write, the capabilities you grant it, and the consequences of publishing a script as a public HTTP endpoint, including any data it exposes or accepts from the public internet. We may rate-limit, throttle, or disable any script or endpoint that we reasonably believe is abusive, insecure, or harmful to the stability of the Service.

5. Connections to External Systems

The Service allows you to connect external data sources — MySQL, PostgreSQL, REST APIs, Google Sheets, and Microsoft Excel — to import data into a spreadsheet, and, depending on connector type, to synchronize changes back to the source (live one-way write-back for databases/REST APIs configured for it, or manual, rate-limited push/pull for Google Sheets and Excel).

  • You are responsible for the destination. You represent that you have the necessary rights and permissions to connect to, read from, and (where enabled) write to any external database, API, or file you configure as a Connection, and that doing so does not violate any agreement you have with a third party.
  • Live write-back is immediate. If you enable live mode on a database or REST connection, an edit you make in Prysm is written to the external system without a separate confirmation step. You are responsible for ensuring the credentials you provide have appropriate, limited permissions for this purpose.
  • Credential security. We encrypt connection credentials (database passwords, API tokens, OAuth tokens) at rest and never display previously-saved secrets back to you in plaintext. You remain responsible for the strength and appropriate scope of any credential you provide us.
  • OAuth-based connectors. Google Sheets and Microsoft Excel connections are authorized through the respective provider's OAuth consent flow. Your use of those providers is additionally subject to Google's and Microsoft's own terms of service, and you may revoke Prysm's access at any time directly through your Google or Microsoft account settings, in addition to disconnecting it within Prysm.
  • Rate limits. Push and pull operations for OAuth-based sheet connectors are limited to one operation of each kind per minute, per connection, to respect the external provider's own rate limits and protect the stability of the Service.

6. Juno (AI Assistant)

Juno is an agentic assistant with tool-calling access to resources within your current Organization, scoped to your session's role. You acknowledge that:

  • Juno's responses and actions are generated by a third-party large language model and may occasionally be inaccurate, incomplete, or not reflect your intent — you are responsible for reviewing any change Juno proposes or makes before relying on it.
  • Any action Juno takes that is classified as destructive (e.g., deleting a resource, executing a script, running a data-contract check) requires your explicit approval before it executes, regardless of your automation settings; this cannot be bypassed by instructions given to Juno within a conversation.
  • You will not use Juno to attempt to extract another Organization's data, to generate content that violates Section 3 (Acceptable Use), or to automate abuse of the Service.

7. Fees and Payment

Some features or usage tiers of the Service may be offered on a paid subscription basis. If you subscribe to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable except as required by law or as we otherwise expressly state. We may change our pricing on a going-forward basis with reasonable notice. 8. Intellectual Property in the Service

The Service itself — including its software, design, "Prysm" branding, and documentation (excluding Your Content) — is owned by us or our licensors and is protected by intellectual property laws. Except for the rights expressly granted to you to use the Service, we reserve all rights, title, and interest in and to the Service.

9. Termination

You may stop using the Service and delete your account at any time through Settings. We may suspend or terminate your access to the Service, in whole or in part, if you materially breach these Terms, if required by law, or if we discontinue the Service, in each case with notice where reasonably practicable. Upon termination, your right to use the Service ceases immediately; Sections 2 (as to content ownership prior to termination), 8, 10, 11, and 12 survive termination.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT ANY FORMULA, SCRIPT, AI-GENERATED OUTPUT, OR SYNCHRONIZED DATA WILL BE ACCURATE OR RELIABLE, OR THAT ANY EXTERNAL SYSTEM YOU CONNECT WILL BEHAVE AS EXPECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PRYSM OR ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING ANY DATA WRITTEN TO, READ FROM, OR LOST VIA A CONNECTION TO AN EXTERNAL SYSTEM YOU CONFIGURE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). 12. Indemnification

You agree to indemnify, defend, and hold harmless Prysm and its officers, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) your use of the Service in violation of these Terms; or (c) your violation of any right of a third party, including through a Connection you configure to an external system you were not authorized to access.

13. Changes to the Service and These Terms

We may modify or discontinue any part of the Service at any time. We may update these Terms from time to time; if we make material changes, we will update the "Last updated" date below and, where appropriate, provide additional notice. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of [Governing Jurisdiction], without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the courts located in [Venue], and you consent to the personal jurisdiction of those courts. 15. General

  • Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
  • Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect.
  • No waiver. Our failure to enforce any right or provision will not be considered a waiver of that right or provision.
  • Assignment. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
